OVERVIEW OF THE ROLE
The General Counsel at Frenzy Agriculture will report directly to the CEO and the President /Chief Science Officer and collaborate closely with senior leadership, including the Board of Directors. This role involves overseeing and managing all legal aspects of the business, with a strong focus on intellectual property (IP) and patent strategy to support Frenzy’s licensing approach and innovative advancements in agri-tech. The General Counsel will play a pivotal role in ensuring compliance, managing legal risks, supporting business expansion efforts, and protecting Frenzy’s proprietary technologies and products through strategic IP and patent counsel.
KEY RESPONSIBILITIES
- Legal Strategy & Leadership: Lead the legal function, working across departments to provide strategic guidance on all legal matters.
- Intellectual Property and Patent Management: Develop, implement, and oversee Frenzy’s IP and patent portfolio strategies. Collaborate with IP & Science leadership to secure and protect innovations and ensure alignment with the company's business objectives.
- Contract Drafting and Negotiation: Draft, negotiate, and review a variety of contracts, including licensing, supplier, partnership, and customer agreements.
- Risk Management and Compliance: Identify, manage, and mitigate legal risks associated with corporate governance, regulatory compliance, and commercial activities in the agriculture industry.
- Litigation Management: Lead and manage litigation strategies, coordinating with external counsel on disputes, claims, and enforcement of Frenzy’s IP rights.
- Corporate Governance: Provide counsel on matters of corporate governance, reporting, and compliance, including Board relations and company policy development.
- Mergers, Acquisitions, and Partnerships: Support Frenzy’s strategic growth initiatives by managing the legal aspects of acquisitions, joint ventures, and other corporate transactions.
- Stakeholder Collaboration: Work closely with internal stakeholders, regulatory bodies, and external counsel to address complex legal and business issues.
QUALIFICATIONS
- Education & Licensure: Juris Doctor (JD) from an accredited law school and active membership in good standing with a state bar.
- Experience: Minimum of 5+ years of relevant legal experience, with substantial expertise in intellectual property, patent law, and general corporate matters. Prior experience in agriculture, agri-tech, or a technology-driven sector is highly desirable.
- Skills:
- Strong background in IP law, with demonstrated experience in patent drafting, [PKN3] filings, IP strategy, and protection.
- Proven ability to draft, negotiate, and manage complex agreements and contracts.
- Proficiency in spotting and managing legal risks, with a solution-oriented approach.
- Strong interpersonal skills with a collaborative mindset and the ability to work effectively across various levels of the organization.
- Exceptional analytical skills and the ability to communicate complex concepts concisely and clearly.
- Adaptability and intellectual flexibility to respond to changing legal landscapes.
WORKING CONDITIONS
- Location: This position is remote friendly with occasional travel requirements to Frenzy’s headquarters in Champaign, IL.
- Schedule: Standard business hours, with occasional evening or weekend work to meet critical deadlines.
- Travel: Minimal travel required, though occasional trips to industry conferences, regulatory meetings, or other Frenzy locations may occur.
